1. Acceptance of terms

Welcome to Valorify. These Terms of Use ("Terms") are a legal agreement between you ("user", "you") and Valorify ("we", "our app") governing the use of our mobile application, web version and all related services (collectively, the "Service").

By creating an account, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree with any part, you must not use the Service.

You must be at least 18 years old or the legal age of majority in your country of residence to create an account. If you use the Service on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

2. Description of the service

Valorify is a pricing calculator designed for entrepreneurs, artisans and small businesses. The Service allows you to record costs, materials, fixed expenses and hourly rates to calculate suggested selling prices for your products.

The Service is offered in two tiers:

• Free Plan: includes basic features with a limit of 10 products.
• Pro Plan: includes unlimited products, AI market analysis, priority support and other advanced features, via a paid subscription.

We reserve the right to modify, suspend or discontinue any part of the Service at any time, with or without prior notice, although we will make reasonable efforts to communicate important changes.

3. Your account

3.1 Registration

To use the Service you must create an account with a valid email address and a password. You agree to provide truthful, accurate and current information, and to keep it up to date.

3.2 Account security

You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3.3 One account per person

Each account is personal and non-transferable. You may not share your credentials, assign your account, or create multiple accounts to circumvent free plan limits or app policies.

4. Subscriptions and payments

4.1 Pro plans

Pro subscriptions are offered with monthly or annual billing. The price, applicable taxes and currency are shown on the purchase screen inside the app before confirming any payment.

4.2 Payment processing

Payments are processed through Stripe exclusively from the mobile app. We do not store your credit card details; these are handled directly by Stripe under their own terms and PCI-DSS security standards.

4.3 Automatic renewal

Subscriptions renew automatically at the end of each billing cycle (monthly or annual) for the same period, at the price in effect at that time, unless you cancel before the renewal date.

4.4 Cancellation

You can cancel your subscription at any time from the account section in the app. Cancellation takes effect at the end of the current billing period: you will continue to have access to Pro features until that date, and no further renewals will be charged.

4.5 Refunds

Unless applicable law provides otherwise, payments are non-refundable. If you believe a charge was made in error, write to us at [email protected] within 14 days after the charge and we will evaluate your case in good faith.

4.6 Price changes

We may modify subscription prices. We will notify you of any price change at least 30 days in advance. If you do not agree, you may cancel your subscription before the new price takes effect.

5. Acceptable use

When using Valorify, you agree not to:

• Use the Service for illegal, fraudulent purposes or in a way that infringes third-party rights.
• Attempt to access without authorization other accounts, servers or systems connected to the Service.
• Reverse engineer, decompile or attempt to extract the source code of the app, except to the extent permitted by law.
• Use bots, scrapers or any automated means to access the Service or collect data.
• Overload, interfere with or disrupt the normal operation of the Service.
• Resell, sublicense or commercially exploit the Service without our written authorization.
• Upload content containing viruses, malware or any malicious code.

6. Your content

All content you enter into Valorify — product names, costs, materials, photos, notes and any other data from your business — is and remains your property. We do not claim any rights over your content.

You grant us a limited, non-exclusive, royalty-free license, solely to store, process and display your own content to you within the Service. This license ends when you delete the content or your account.

You are responsible for the truthfulness and legality of the content you upload. Do not upload content that infringes copyright, trademarks, privacy or other third-party rights.

7. AI analysis feature

The Pro plan includes a market analysis feature that uses artificial intelligence to suggest price ranges based on your product category and country. It is important for you to understand that:

• Results are estimated suggestions, not professional financial advice.
• Actual prices depend on many factors (quality, location, competition, demand) that the AI cannot know with certainty.
• The final pricing decision is always yours. Valorify is not responsible for commercial losses resulting from applying suggested prices.
• AI models may contain errors or biases. We recommend cross-checking with your own market knowledge.

8. Intellectual property

Valorify and all elements of the Service — including code, design, logos, branding, text, interfaces and algorithms — are the exclusive property of Valorify and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable and revocable license to use the Service according to these Terms. No other rights over our intellectual property are transferred to you.

9. Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose or non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, 100% secure, or that the results of the calculations will be accurate or suitable for a specific business decision. Your use of the Service is at your own risk.

10. Limitation of liability

To the maximum extent permitted by applicable law, Valorify, its directors, employees or providers shall not be liable for:

• Indirect, incidental, special, consequential or punitive damages.
• Loss of revenue, profits, data, goodwill or business opportunities.
• Decisions made based on the calculations or suggestions generated by the Service.
• Interruptions, errors or data loss resulting from technical failures, attacks or causes beyond our reasonable control.

Our total accumulated liability, for any claim related to the Service, shall not exceed the amount you have paid to Valorify during the twelve (12) months prior to the event that gave rise to the claim, or fifty euros (€50) if you have made no payments, whichever is greater.

11. Termination

You may close your account at any time using our data deletion form or by writing to us.

We may suspend or terminate your access to the Service, with or without prior notice, if you breach these Terms, if your use endangers the security or stability of the Service, or if required by law. In the event of termination for serious breach, you will not be entitled to a refund of payments already made.

Clauses that by their nature should survive termination (intellectual property, limitation of liability, governing law, among others) will remain in effect.

12. Changes to these terms

We may update these Terms from time to time. If the changes are significant, we will notify you by email or through a prominent notice in the app at least 14 days in advance. The "last updated" date at the top of this page indicates when the most recent modification was made.

If you continue using the Service after the effective date of the changes, you will be deemed to have accepted the updated Terms. If you do not agree, you must stop using the Service and close your account.

13. Governing law and dispute resolution

These Terms are governed by the laws of the country of residence of the Service operator, without prejudice to the rights to which you are entitled as a consumer under the mandatory legislation of your country of residence.

Before initiating any legal action, we ask that you try to resolve the dispute in good faith by contacting us at [email protected]. Most concerns are resolved quickly this way.
